Terms of service.
1. Acceptance of Terms
By placing a Purchase Order (PO), requesting a quotation, or otherwise conducting business with SOMMAX LLC through this Website, you (“Customer”, “Buyer”, “Client”) agree to be bound by these Terms of Service. These Terms prevail over any Customer’s purchasing terms unless explicitly agreed upon in writing by SOMMAX LLC.
2. Business Use Only
The Website and products offered are intended exclusively for commercial and professional use. By using this Website, you confirm that you are acting on behalf of a business entity and have legal authority to enter into commercial agreements.
3. Account & Business Verification
To access pricing, order placement, or wholesale services, you may be required to provide business credentials (e.g., resale certificate, tax ID, business license).
We reserve the right to approve, limit, or deny business accounts at our sole discretion.
4. Quotes & Orders
All product quotations are valid for a limited time as stated in the quote.
Sommax may accept or reject any PO at its discretion. Acceptance occurs only after written confirmation or invoicing.
Minimum order quantities (MOQ) apply unless otherwise stated.
5. Pricing & Payments
Prices exclude applicable taxes, duties, and shipping - these are added at checkout or invoicing.
Unless otherwise agreed:
Payment terms: 100% prepayment before shipment
or Net [30 / 15 / etc.] for approved accountsLate payments bear 1.5% interest per month or maximum allowed by law
We may withhold shipments due to overdue balances
Invoices not disputed within 5 business days are considered accepted.
6. Delivery, Risk & Inspection
Delivery terms follow Incoterms 2020, default FOB Origin (risk transfers to Buyer once goods are handed to the carrier).
Customer shall inspect goods within 5 business days of delivery and notify Supplier of any shortages, defects, or damage. If not reported within this period, goods are deemed accepted.
7. Returns, Refunds & Replacements
Returns are available only if:
Product is defective or shipped in error by Sommax
Return authorization (RMA) was issued prior to return
Goods are in original packaging and unused
No returns for custom, private-label, special-order, or expired products.
8. Product Specifications & Changes
We may modify product specifications, packaging, certifications, or availability without prior notice, provided such changes do not materially reduce performance or compliance.
9. Intellectual Property & Branding
All branding materials, product images, product data, and technical documentation remain exclusive property of Sommax.
Customer may not:
Rebrand or misrepresent origin of products without written authorization
Use Sommax trademarks in advertising without approval
10. Compliance & Export Control
Customer is responsible for compliance with all import/export laws, product regulatory requirements in Buyer’s market, and must ensure products are not resold in restricted territories.
11. Warranty & Liability
Sommax warrants that shipped products conform to agreed specifications at delivery.
No other warranties, express or implied, including merchantability or fitness for a particular purpose, are provided.
Liability is limited to replacement of non-conforming goods or refund of the purchase price.
Supplier shall not be liable for loss of profits, business interruption, indirect or consequential damages.
12. Force Majeure
SOMMAX LLC is not responsible for delays or failures caused by events outside reasonable control, including supply disruptions, logistics failures, or regulatory changes.
13. Termination
We may suspend or terminate access to the Website or business relationship at any time for violations of these Terms or non-payment.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Illinois.
All disputes shall be resolved exclusively in the state or federal courts located in Naperville, IL, and Customer consents to such jurisdiction.
15. Entire Agreement
These Terms together with purchase confirmations constitute the entire agreement and supersede any conflicting terms submitted by the Customer.
